END USER LICENSE AGREEMENT (EULA)
This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and Digi Consult (“Company,” “we,” “our,” or “us”) regarding your use of the Digi Consult application (“App”). By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement.
If you do not agree to these terms, do not install or use the App.
1. LICENSE GRANT
1.1 Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for its intended purposes in accordance with this Agreement.
1.2 Restrictions: You may not:
Reverse engineer, decompile, or disassemble the App.
Rent, lease, or sublicense the App to any third party.
Use the App for any unlawful or unauthorized purposes.
2. DATA COLLECTION AND STORAGE
2.1 Data Fetching: The App is designed to fetch data from your QuickBooks account as authorized by you.
2.2 Local Storage: Data fetched via the App will be stored on a separate server maintained by Digi Consult or its authorized providers. You are responsible for ensuring your compliance with any applicable data privacy regulations when using the App.
2.3 Data Security: We employ industry-standard measures to protect the data stored on our servers. However, we do not guarantee absolute security and shall not be liable for unauthorized access to your data.
3. USER RESPONSIBILITIES
3.1 Compliance: You agree to use the App in compliance with all applicable laws, regulations, and third-party agreements, including those of QuickBooks.
3.2 Authorization: You represent and warrant that you have the necessary rights and permissions to grant the App access to your QuickBooks account and associated data.
4. INTELLECTUAL PROPERTY
4.1 Ownership: All intellectual property rights in the App, including its code, design, and content, remain the sole property of Digi Consult.
4.2 Feedback: Any feedback, suggestions, or ideas you provide regarding the App may be used by us without restriction or compensation.
5. LIMITATION OF LIABILITY
5.1 No Warranties: The App is provided “as is” and “as available” without any warranties of any kind, express or implied.
5.2 Limitation: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from your use of the App, including loss of data or business interruption.
6. TERMINATION
6.1 Termination by You: You may terminate this Agreement by uninstalling the App and ceasing all use.
6.2 Termination by Us: We may terminate this Agreement and your access to the App at any time for any reason, with or without notice.
6.3 Effect of Termination: Upon termination, your license to use the App will immediately end, and you must delete all copies of the App in your possession.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
8. AMENDMENTS
We may update this Agreement from time to time. Continued use of the App after changes are made constitutes your acceptance of the updated Agreement.

BY INSTALLING OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS
